12 Indemnification

You agree to defend indemnify and hold harmless FragrantCreate Kunming XinChuangFei Trading Co., Ltd. and their respective officers directors employees agents affiliates successors and assigns from and against any and all claims damages obligations losses liabilities costs or debt and expenses including but not limited to reasonable legal and accounting fees arising from your use of and access to the Services your violation of any term of these Terms your violation of any third-party right including without limitation any intellectual property right or privacy right or any claim that your User Content caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Services. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and in such case you agree to cooperate with our defense of such claim. You shall not settle any matter subject to indemnification without our prior written consent.

13 Termination

14 Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Peoples Republic of China without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts located in Kunming Yunnan China. You agree to submit to the personal jurisdiction of such courts for the purpose of litigating any such dispute.

For users located outside China this choice of governing law and jurisdiction does not deprive you of the protection afforded to you by provisions that cannot be derogated from by agreement by virtue of the law applicable to you as a consumer where such law provides for a different governing law or jurisdiction. If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction the remaining provisions shall remain in full force and effect.

15 Dispute Resolution

Before initiating any formal legal proceedings the parties agree to attempt to resolve any dispute claim or controversy arising out of or relating to these Terms or the Services informally through good faith negotiations. The party raising a dispute shall provide written notice to the other party describing the nature and basis of the dispute and the specific relief sought. The parties shall then have a period of thirty calendar days from receipt of the notice to attempt to resolve the dispute through informal means.
